These Terms of Service ("Terms") are a binding agreement between you and TaskNode ("we", "us", "our") governing your use of the TaskNode mobile application and related websites (together, "the App"). By downloading, installing, or using the App, you agree to these Terms. If you do not agree, do not use the App.
Plain-language summary
- You get a personal licence to use TaskNode. You keep ownership of everything you create.
- Your data lives on your device — you are responsible for your own backups. We cannot recover data we never receive.
- Location features (including background location) are optional and controlled by you.
- Don't rely on the App for anything safety-critical — alarms and arrival triggers can be delayed or missed by your device.
- Purchases are final and run through the app stores; "lifetime" means the lifetime of the App.
- The App is provided "as is," and our liability is capped to the extent the law allows.
- This summary is convenience only; the sections below control.
1. Eligibility
You must be at least 18 years old (or the age of majority in your jurisdiction, if higher) and able to form a binding contract to accept these Terms. If you use the App on behalf of an organization, you represent that you're authorized to bind it.
2. Licence to use the App
Subject to these Terms, we grant you a personal, limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to install and use the App on devices you own or control, for your own lawful use. We reserve all rights not expressly granted.
3. Your content and your data
TaskNode stores the content you create — tasks, habits, notes, saved places, logs, attachments, and settings — locally on your device. You own your content. Because it is stored on your device and not on our servers:
- You are solely responsible for maintaining your own backups using the App's export feature.
- We have no ability to access, restore, or recover your content.
- We are not responsible for any loss, corruption, or deletion of it — including from device failure, loss or theft, app deletion, OS or app updates, storage limits, or your own actions.
4. Location features
The App offers optional location-based ("geofenced") lists that require precise location and, to trigger while the App is closed, background location permission. You choose whether to grant these permissions and which places to save; you can revoke them at any time in your device settings, and the rest of the App keeps working.
Location-based triggers rely on device GPS, cellular signals, Wi-Fi networks, and operating-system background processing. Physical obstacles, weather, battery-saver modes, and signal drops can disrupt them. We do not guarantee that any location trigger will fire accurately, on time, only once, or at all. You must never rely on location triggers for medical needs, emergencies, or safety-critical events, and you are responsible for using location features safely and lawfully — including not interacting with the App while driving.
5. Reminders, alarms, and notifications
The App can schedule reminders and full-screen alarms. Delivery depends on your device's OS, permission settings, battery optimization, Do Not Disturb, and available resources. Do not rely on the App for medication reminders, medical or emergency alerts, or any other safety-critical or time-critical purpose. We are not liable for a missed, delayed, silenced, or duplicated notification or alarm.
6. People, delegation, and messages
The App lets you add people and share task lists with them using your device's own messaging and sharing apps. If you use these features:
- You are responsible for the personal information of anyone you add (such as their name or role), and you confirm you have any consent required to record and use it.
- You are solely responsible for the content of any message you send and for complying with anti-spam and privacy laws.
- Messages are sent through the third-party app you choose. We do not send, receive, store, or deliver them, and we cannot retract them.
- Do not use these features to harass, threaten, or spam anyone.
7. Acceptable use
You agree not to: (a) use the App for any unlawful purpose; (b) copy, modify, reverse engineer, decompile, disassemble, or attempt to extract the source code of the App, except to the extent this restriction is prohibited by applicable law; (c) rent, lease, lend, sell, sublicense, or commercially exploit the App; (d) interfere with, disrupt, or attempt to gain unauthorized access to the App or any systems it touches; (e) remove or alter any proprietary notices; or (f) use the App to build a competing product.
8. Purchases, subscriptions, and refunds
The App is free to download. Optional "Pro" features may be offered as one-time purchases or auto-renewing subscriptions.
- All purchases are final, non-refundable, and non-transferable to the fullest extent permitted by law and the applicable store's policies.
- All purchases are processed by the applicable app store (Google Play or the Apple App Store) and are subject to that store's terms and payment policies, which we do not control. Formal refund requests are governed by the store's refund policy; we do not process payments and generally cannot issue refunds directly.
- Operating-system updates that affect app compatibility do not entitle you to a refund.
- Subscriptions, where offered, renew automatically at the then-current price until cancelled through your app store account before the renewal date. Pricing, billing period, and any free-trial terms are disclosed at the point of purchase.
- We may change Pro pricing or features prospectively; changes do not affect a subscription period you've already paid for.
9. Lifetime purchases
Pro may be offered as a one-time "lifetime" purchase. "Lifetime" refers to the operational lifetime of the App — for as long as we make TaskNode commercially available — not your lifetime or any fixed period. A lifetime purchase unlocks the Pro features that exist at the time of purchase; it does not entitle you to future updates, new features, or ongoing maintenance, and it is not a subscription. We reserve the right to modify, discontinue, or cease operation of the App at any time. Because TaskNode runs locally on your device, a version you have installed keeps working after discontinuation, but we have no obligation to keep it compatible with future devices or operating systems, and no refunds, credits, or compensation will be provided for any unused portion of a lifetime licence, except where required by law. Sections 11–12 (liability and consumer rights) still apply.
10. Disclaimer of warranties
The App is provided "as is" and "as available," with all faults and defects, without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the App will be uninterrupted, error-free, or secure; that it will meet your requirements or remain compatible with future device hardware or operating systems; that location triggers, alarms, or notifications will fire; or that data will be preserved. You use the App at your own risk.
11. Limitation of liability
To the maximum extent permitted by law, we and our suppliers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of data, profits, revenue, goodwill, or business, missed tasks, broken devices, or personal injuries connected to your use of the App — even if advised of the possibility. Our total aggregate liability for all claims relating to the App will not exceed the greater of (a) the total amount you paid us through the App in the twelve months before the claim, or (b) CAD $50.
12. Consumer rights
Nothing in these Terms excludes, restricts, or modifies any consumer guarantee, right, or remedy you have under applicable law that cannot lawfully be excluded — including under Canadian provincial consumer protection legislation. Some jurisdictions do not allow the exclusion of certain warranties or the limitation of certain damages; in those places, Sections 10–11 apply only to the greatest extent permitted, and your mandatory rights are unaffected.
13. Indemnification
You agree to indemnify and hold us harmless from any claims, damages, liabilities, losses, and expenses (including reasonable legal fees) arising out of your misuse of the App, your content, your use of the delegation features, or your violation of these Terms, any law, or any third-party right.
14. Third-party services
The App relies on third parties, including the app stores, purchase processing (RevenueCat), and mapping/search providers (Google Maps and Google Places, OpenStreetMap/Nominatim, Photon). We are not responsible for the acts, omissions, availability, accuracy, or policies of any third party, including map errors, wrong address pins, or service downtime.
RevenueCat: in-app purchase verification depends on services provided by RevenueCat. By completing a purchase, you agree to the RevenueCat Terms of Service.
Google Maps: by using the App's map and place-search features, you agree to be bound by Google's Terms of Service (including the Google Maps / Google Earth Additional Terms) and acknowledge Google's Privacy Policy. Map data and place results are provided by third parties and may be inaccurate or out of date.
15. App store terms
These Terms are between you and us only — not with Apple or Google. You also agree to the applicable store's terms. In addition:
Apple: Apple has no obligation to provide maintenance or support for the App. If the App fails to conform to any applicable warranty, you may notify Apple and Apple may refund the purchase price; to the maximum extent permitted by law, Apple has no other warranty obligation. Apple is not responsible for addressing any claim by you or a third party relating to the App, including product liability, legal or regulatory non-compliance, or consumer protection claims. Apple is not responsible for investigating, defending, settling, or discharging any third-party intellectual property claim relating to the App. You represent that you are not located in a country subject to a U.S. Government embargo or designated as "terrorist supporting," and that you are not listed on any U.S. Government prohibited or restricted-party list. Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.
Google: your use of the App obtained through Google Play is also subject to the Google Play Terms of Service.
16. Feedback
If you send us ideas, suggestions, bug reports, or other feedback, you grant us a perpetual, irrevocable, worldwide, royalty-free licence to use it to improve our products, without any obligation or compensation to you. Please don't send us anything you consider confidential.
17. Governing law and disputes
These Terms are governed by the laws of British Columbia, Canada, and the federal laws of Canada applicable there, without regard to conflict-of-laws rules. Before filing any claim, you agree to contact us at support@tasknode.ca and attempt to resolve the dispute informally for at least 30 days. Any dispute not resolved informally will be subject to the exclusive jurisdiction of the courts of British Columbia, Canada, and you consent to venue there — except where applicable consumer-protection law gives you the right to bring a claim in your own jurisdiction, which we do not seek to remove. To the extent permitted by applicable law, you agree to bring claims against us only in your individual capacity, and not as a plaintiff or class member in any class or representative proceeding.
18. Suspension and termination
These Terms apply for as long as you use the App. You may stop at any time by deleting it. We may suspend or terminate your licence if you materially breach these Terms. Sections 3, 5, 6, 10, 11, 12, 13, 16, and 17 survive termination.
19. Changes to the App and these Terms
We may modify, suspend, or discontinue the App, or any feature of it, at any time. We may also update these Terms; the updated version will be posted with a new "Last updated" date, and material changes take effect when posted. Your continued use after changes take effect means you accept the revised Terms. If you don't agree, stop using the App.
20. Pre-release versions
If you use a beta, preview, or test build, it may be incomplete, unstable, or change without notice. Pre-release versions are provided strictly "as is," and the disclaimers and liability limits above apply with full force.
21. General
If any provision is found unenforceable, it will be limited or severed and the remainder stays in effect. Our failure to enforce a provision is not a waiver of it. These Terms, together with the Privacy Policy, are the entire agreement between you and us regarding the App. You may not assign these Terms; we may assign them in connection with a merger, acquisition, or sale of assets. We are not liable for failures caused by events beyond our reasonable control. Legal notices to us should go to support@tasknode.ca.
